Worth It or Woke LLC – Terms and Conditions

1. Introduction

Welcome to Worth It or Woke (“Worth It or Woke,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our website, subscription services, critic network, and related offerings. By accessing or using our services, you agree to be bound by these Terms.

2. Definitions

  • “Worth It or Woke” refers to the website, platform, content, and services operated by Worth It or Woke LLC.

  • “Subscriber” refers to an individual with an active paid subscription.

  • “VIP PREMIUM” refers to the highest-tier paid subscription plan offered by Worth It or Woke.

  • “Legacy Subscriber” refers to an annual VIP PREMIUM subscriber who enrolled prior to December 31, 2025.

  • “Critic” or “Approved Critic” refers to an individual approved to participate in the Worth It or Woke Critic Network by application, invitation, or administrative approval at our sole discretion.

  • “User-Generated Content” includes ratings, scores, recommendations, metadata, profile information, and links submitted to the platform.

3. Eligibility

Subscriptions and Critic participation are available only to individuals aged 18 or older.
By using the platform, you represent and warrant that you meet this requirement.

4. Subscription Plans

(No change to existing subscription terms — critics are addressed separately below.)

5. Member Benefits

(No change to existing benefits and vacation disclosures.)

6. No Online Store

Worth It or Woke does not currently operate an online merchandise store.
Any previous references to store discounts or merchandise benefits are no longer applicable.

7. User Responsibilities

Users agree to:

  • Provide accurate and truthful information

  • Maintain the confidentiality of account credentials

  • Comply with all applicable laws and community standards

  • Use the platform in good faith

8. Account Termination

Worth It or Woke reserves the right to suspend or terminate any account, including Subscriber or Critic access, for violations of these Terms, abuse, misconduct, or behavior deemed harmful to the platform or its mission.

9. Intellectual Property

All site content, branding, design, and proprietary materials are owned by Worth It or Woke LLC unless otherwise stated.
Unauthorized reproduction or distribution is prohibited.

10. Payment & Billing

Payments are processed securely through Stripe.
Subscriptions automatically renew unless canceled prior to renewal.
All subscription fees are non-refundable.

11. Refund & Cancellation Policy

Cancellations take effect at the end of the current billing period.
No refunds are provided for partial periods or unused time.

12. Critic Network – Terms of Participation

a. Independent Status

Approved Critics participate as independent contributors.
Nothing in this agreement creates an employment relationship, contractor relationship, partnership, joint venture, agency, or fiduciary relationship.

Participation is voluntary and unpaid.

b. Admission & Access

Approved Critics may be admitted by application, invitation, or administrative approval at our discretion.

Approved Critics receive a Critic account status, which grants full access to the site while they remain in good standing.
Critic access is not a paid subscription and does not require payment at any time.

If Critic status is revoked, associated access privileges are revoked concurrently.

c. Compensation & Expectations

No compensation, revenue sharing, traffic guarantees, promotion, or consideration of any kind is promised or implied.

Participation does not create reliance, entitlement, or expectation of benefit beyond access to the platform while approved.

d. Content Ownership & License

Critics retain full ownership of their original reviews and external content.

By submitting ratings, scores, recommendations, profile information, and links, Critics grant Worth It or Woke a non-exclusive, worldwide, royalty-free license to:

  • Display submitted scores and ratings publicly

  • Display the Critic’s name, outlet, and profile information

  • Link directly to the Critic’s original published reviews

  • Store, cache, and archive submitted rating data

Worth It or Woke does not republish full reviews or claim ownership of external content.

Historical scores and associated links may remain displayed even if a Critic later leaves or is removed from the platform.

e. Standards, Conduct, and Removal

Worth It or Woke reserves the right, at its sole discretion, to suspend or remove a Critic for any reason, including but not limited to:

  • Vulgar, obscene, or unprofessional content

  • Bad-faith engagement or manipulation

  • Conduct that undermines the platform’s mission

  • Extended inactivity

  • Public behavior that materially reflects poorly on the platform

Removal may occur with or without notice, with or without explanation, and does not obligate Worth It or Woke to delete previously submitted scores or links.

13. User-Generated Content (General)

Users retain ownership of their content.
By submitting content, users grant Worth It or Woke the rights necessary to operate, display, and maintain the platform consistent with these Terms.

14. Disclaimers

Opinions expressed by Critics are their own and do not represent official positions of Worth It or Woke.

Worth It or Woke does not guarantee accuracy, completeness, or agreement with any Critic’s opinion or score.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the United States and the applicable state of operation, without regard to conflict-of-law principles.

16. Changes to These Terms

Worth It or Woke may update these Terms at any time.
Continued use of the platform constitutes acceptance of the revised Terms.
